Assisted a Japanese spring manufacturer in an acquisition

Engagement: SKP was engaged by a USD-4-billion listed Japanese spring manufacturing company for assisting them in the acquisition of a business unit of a listed Indian company by way of a slump sale.

Solution/Value Addition
Our team was involved throughout the deal for providing all services related to the acquisition and post-acquisition transition. The client developed immense confidence in our services during this period, and hence, we were consulted for every issue related to the acquisition as well as the commercial and day-to-day routine matters including the evaluation of the IT system of the company.

The scope of work included negotiating various issues in the term sheet, valuation negotiations, financial and tax due diligence, review of definitive agreements, review of conditions precedent and closing diligence, post-merger integration support, regulatory compliances, transaction structuring, purchase price allocation including the support in valuation of intangible assets as well as providing assistance in getting approvals under the Competition Act.

Our dedication and proactive, partnership approach in the acquisition assignment resulted in the extension of our association for post-acquisition activities. At the company’s behest, we even acted as their representative during the transaction period, which lasted for over a year.
